1. General

Welcome to Northmemo. These Terms and Conditions (“Terms”) govern your use of the Northmemo website, mobile app, and any related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

2. Account & Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate and complete information.
• Maintain the security of your login credentials.
• Notify us immediately of any unauthorized use.
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Orders & Payment

All orders placed through the Platform are subject to acceptance and availability. We reserve the right to refuse or cancel any order for reasons including but not limited to: product availability, errors in pricing, or suspected fraud.

4. Shipping & Delivery

We aim to process and ship orders within 1–3 business days. Delivery times are estimates and may vary. Risk of loss and title for products pass to you upon delivery to the carrier. We are not responsible for delays caused by customs, weather, or other unforeseen events.

• Domestic shipping: 3–7 business days.
• International shipping: 7–14 business days (additional duties may apply).
• Tracking information will be provided via email.

5. Returns & Refunds

We want you to love your Northmemo products. If you are not fully satisfied, you may return eligible items within 30 days of receipt for a full refund or exchange. Items must be unused, in original packaging, and with all tags attached.

• Return shipping costs are the customer's responsibility unless the item is defective.
• Refunds will be processed to the original payment method within 7–10 business days after we receive the return.
• Sale items are final sale unless otherwise noted.

6. Intellectual Property

All content on the Platform, including text, images, logos, and designs, is the property of Northmemo or its licensors and is protected by copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

7. Limitation of Liability

To the fullest extent permitted by law, Northmemo shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with your use of the Platform. Our total liability shall not exceed the amount paid by you for the products in question.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco, CA.

9. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of significant changes by posting a prominent notice on the Platform or via email. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
